This marks the third official statement issued by Wentai Technology since the Dutch side announced on November 19th that it had "suspended interventions against Nexperia". The specific contents and timeline are as follows:
On November 19th, Wentai Technology released the Progress Report on the Operation and Management of Its Subsidiary. The announcement clarified that the ministerial order
whose suspension was referenced in the statement by the Dutch Minister of Economic Affairs and Climate Policy refers to the order issued to Nexperia by the Ministry of Economic
Affairs and Climate Policy of the Netherlands on September 30th, 2025 (Netherlands time). This ministerial order mandated that Nexperia, along with all its global entities including
subsidiaries, branches, and offices across 30 locations worldwide, shall refrain from making any adjustments to their assets, intellectual property rights, businesses, or personnel,
with a validity period of one year.
Although the aforementioned ministerial order has been announced as suspended, the ruling issued by the Enterprise Court on October 7th, 2025 (Netherlands time) remains in
effect and has not been affected in any way by the suspended ministerial order. All the emergency measures imposed by the Enterprise Court, as detailed in the company's
announcement dated October 13th, are still being enforced, and the company's control over Nexperia remains restricted. Investors are hereby advised to exercise caution regarding
investment risks.
On November 20th, Wentai Technology released the Statement on the Suspension of the Administrative Order by the Dutch Ministry of Economic Affairs via its official WeChat
Official Account. The statement emphasized that despite the announcement of the administrative order's suspension, the emergency measures imposed by the Enterprise Court of
the Amsterdam Court of the Netherlands have not been revoked. The Dutch Ministry of Economic Affairs is obligated to thoroughly and comprehensively resolve the issues
concerning Nexperia, and Wentai Technology's full rights as a shareholder, as well as its legitimate control over Nexperia, must be restored.

On November 23rd, Wentai Technology released the Statement on Urging Nexperia Netherlands to Earnestly Respond, Communicate and Resolve the Control Right Issue so as to Safeguard the Stability of the Global Semiconductor Supply Chain via its official WeChat Official Account.
The statement noted that the company has taken note of a series of unilateral actions by Nexperia Netherlands and relevant parties, which have posed a potential threat to the stability of the global semiconductor industry chain.
"It is deeply regrettable and puzzling that despite our demonstration of the utmost sincerity, Nexperia Netherlands has so far failed to make any substantive response to our communication proposals," the statement read. In the statement, Wentai Technology demanded that Nexperia Netherlands, on the basis of respecting facts and laws, put forward constructive and truly sincere solutions regarding the restoration of Wentai Technology's legitimate control rights and full shareholder rights.

On November 1st, the Chinese side announced the granting of export exemptions for eligible Nexperia products.
On November 2nd, Nexperia China issued an announcement letter to its customers, stating that Nexperia Netherlands had unilaterally decided to suspend the supply of wafers to its packaging and testing plant (ATGD) located in Dongguan starting from October 26th, 2025.
On November 7th (local time), the Dutch government stated that China would resume chip supplies soon.
On November 8th, the Chinese side approved the request from the Dutch Ministry of Economic Affairs to send personnel to China for consultationsBusiness.gov.nl.
On November 13th, ijiwei reported that according to a revelation from an automotive industry official, the Dutch branch of Nexperia has never shipped silicon wafers to its Chinese subsidiary for assembly .
On the same day, Vincent Karremans, Dutch Minister of Economic Affairs, stated in an interview with The Guardian that he had "no regrets whatsoever" about the Dutch government's decision on September 30th to take over Nexperia .
