On October 13, 2025, Wentai Science and Technology announced that its subsidiaries Nexperia Semiconductor Ltd. and Nexperia Semiconductor Holdings Ltd. had received a ministerial order from the Ministry of Economic Affairs and Climate Policy of the Netherlands and a ruling from the Enterprise Chamber of the Amsterdam Court of Appeal.This marked the loss of control over Nexperia, the core subsidiary of Wentai Science and Technology, and the suspension of Zhang Xuezheng, the actual controller, from serving as a director of Nexperia.
On November 19, 2025, the Minister of Economic Affairs and Climate Policy of the Netherlands publicly issued a statement on social media, announcing that the aforementioned ministerial order had been suspended.
On January 14, 2026, the Enterprise Chamber of the Amsterdam Court of Appeal held a public hearing regarding disputes involving Nexperia.The core issues were whether to launch an investigation into the allegations raised by Nexperia’s European management and whether to revoke the interim measures previously imposed by the court, which had temporarily restricted the Company’s control over Nexperia.No ruling was issued on the day of the hearing.
On February 11, the Enterprise Chamber ruled to approve the application for a formal investigation and expanded the scope of the investigation to include the conduct of Nexperia’s local management.The court ordered that all previously issued interim measures, including restrictions on the positions of certain individuals and shareholder rights, remain in effect during the investigation period, provided that the equity custodian shall not dispose of the shares during the investigation.Pursuant to the ruling, two independent investigators appointed by the court will conduct the specific investigation.
Wentai Science and Technology reminds investors that the latest ruling by the Enterprise Chamber maintains the interim measures imposed on Nexperia since October 2025.During the court’s investigation, the Company’s control over Nexperia remains restricted, and the duration of the investigation is uncertain.Investors are advised to pay close attention to investment risks.

Wingtech Technology notes that the Amsterdam Enterprise Chamber in the Netherlands has today issued a new ruling regarding the Nexperia case. The Enterprise Chamber has
neither revoked its previous erroneous decision nor lifted the interim measures imposed on Nexperia, nor has it restored Wingtech Technology’s lawful control as a shareholder of
Nexperia. Additionally, the Enterprise Chamber has ordered an investigation into Nexperia. Our company expresses extreme disappointment and strong dissatisfaction with this
ruling.
On one hand, the Enterprise Chamber has upheld the erroneous interim measures imposed on our company and Mr. Zhang Xuezheng since October 2025—measures that are
persistently and irreversibly destroying a once exceptionally well-managed and highly contributing global semiconductor leader, harming the interests of over 10,000 employees,
more than 25,000 customers, and the stability of the global industrial chain. On the other hand, the Chamber has ordered a so-called "investigation procedure," dragging the case
into a protracted second phase. This is a self-contradictory and logically flawed ruling: the Chamber acknowledges on one hand that certain matters still require investigation, yet
continues to uphold interim measures based on one-sided and false information; on the other hand, it recognizes the necessity of expanding the investigation to include current
management, yet allows the same interim management to remain in control of the company, effectively permitting them to continue disrupting company operations, divesting
core assets, and jeopardizing the stability of the global supply chain. How can a court that truly seeks to uphold the "best interests of the company" allow the current management
to continue driving a once outstanding and successful company toward decline, all while conducting a so-called "investigation"?

We note that the ruling of the Enterprise Chamber has expanded the scope of the investigation to include the current interim management of Nexperia, while affirming several of our positions in the dispute.The Company urges the Enterprise Chamber to conduct a full and impartial investigation into this case, carry out a thorough probe into the series of unlawful acts committed by Nexperia’s current management, uncover the truth, and hold the relevant parties accountable.
We reiterate: the only solution that can save Nexperia, stabilize the global supply chain, and protect the legitimate rights and interests of all stakeholders is to immediately and unconditionally revoke all interim measures and restore Wentai Science and Technology’s legitimate shareholder rights.
The Company will continue to unwaveringly strive to fully restore all its legitimate control and governance rights over Nexperia through all legal channels. This is the only correct way to end the current chaos and bring Nexperia and the semiconductor industrial chain back to a healthy development track.
